Differences between Class A & Class B Shares:

The company has two classes of common stock, Class A and Class B, both listed on the New York Stock Exchange under the symbols JWa and JWb, respectively. The holders of Class A stock are entitled to elect 30% of the entire Board of Directors, and the holders of Class B stock are entitled to elect the remainder. On all other matters, holders of Class A and Class B stock vote together as a single class, with each share of Class A stock entitled to one-tenth of one vote and each share of Class B stock entitled to one vote. Each share of the Class B stock is convertible into one share of Class A stock.
